These Terms & Conditions (“Agreement”) govern the provision of digital marketing services by BRNDO (“Agency”) to its clients (“Client”). By accessing or using the services provided by BRNDO through www.brndo.in, you agree to be bound by these Terms.
BRNDO agrees to provide digital marketing services as specified in individual Statements of Work (“SOW”). Services may include, but are not limited to:
Each SOW will specify detailed deliverables, timelines, milestones, performance metrics, and specific client obligations including content provision, brand assets, and feedback cycles.
Clients agree to provide all necessary information, approvals, and cooperation in a timely manner to enable BRNDO to deliver the services effectively. Any delays in client responses or provision of content may affect delivery timelines.
Service fees will be charged as outlined in each SOW or contract. Unless stated otherwise, fees are exclusive of applicable taxes including GST.
Invoices are issued monthly in arrears and payable within thirty (30) days from the invoice date. Payment methods include bank transfer, UPI, credit/debit cards, or as mutually agreed.
Late payments will incur interest at the rate of 1.5% per calendar month or the maximum rate allowed by law, whichever is lower. BRNDO reserves the right to suspend services until outstanding amounts are cleared.
Refund eligibility is governed by the Refund Policy available on www.brndo.in or as detailed in individual contracts.
All pre-existing intellectual property owned by BRNDO, including methodologies, software, templates, frameworks, and know-how, remain BRNDO’s exclusive property.
Clients retain ownership of all materials and contents provided to BRNDO. By providing such materials, Clients grant BRNDO a limited license to use them for service delivery.
Custom assets created specifically for the client, such as website designs, social media graphics, and content, will become the client’s property upon full payment of services, unless otherwise agreed.
Both parties agree to keep all proprietary and confidential information, whether written, electronic, or oral, strictly confidential and not disclose to any third party except with permission or as required by law.
Confidential Information excludes information already public or independently developed without breach of agreement.
This Agreement starts on the Effective Date and continues for an initial term of six (6) months. Thereafter, it renews monthly until terminated by either party.
Either party may terminate by giving thirty (30) days’ prior written notice. Immediate termination applies in case of material breach, insolvency, or unlawful conduct.
Upon termination, all unpaid fees become due immediately. BRNDO will provide the Client all deliverables completed as of termination date. Confidential information will be returned or destroyed.
BRNDO warrants to perform services with reasonable care, competence, and skill in accordance with industry standards.
All services and deliverables are provided “as is” without other express or implied warranties. BRNDO does not guarantee:
Neither party shall be liable for indirect, consequential, punitive, or incidental damages. BRNDO’s total liability arising from this Agreement shall not exceed the total amount paid by Client in the preceding twelve (12) months.
Client agrees to indemnify and hold harmless BRNDO and its officers, agents, and employees from any third-party claims arising from Client’s breach of these Terms or misuse of deliverables.
Neither party will be liable for delays or failures caused by events beyond their reasonable control, including natural disasters, pandemics, government actions, or system outages.
These Terms are governed by Indian laws. Disputes will first seek resolution via negotiation, then mediation, and if unresolved, arbitration under Arbitration and Conciliation Act, 1996, with venue in [City], India.
These Terms may be amended only by a written document signed by authorized representatives of both parties.
This Agreement including all attachments and referenced documents constitute the entire understanding between the parties.
